Our team leans on our directors for their perspectives on strategic issues and guidance on complex challenges; their presence, counsel and direction are crucial. Our ownership structure enables the focus of the board’s attention to be on the long-term stability and safety of the firm, rather than on the short-term noise that can be a drag on the governance of public companies. As lead director, Bob Flanagan partners closely with leaders across the firm, including Shannon Pierce, Chief Financial Officer, and Brett Rogers, General Counsel.
Successful Partnerships: Founded on Trust
Bob: Having been around the block more than once, I’ve seen partnerships that work seamlessly and others that are complete train wrecks. At Brown Advisory, partnership is a collaborative commitment rooted in trust. At the board level, that trust is palpable. If there’s a question, it’s asked respectfully, and the response is always thorough. That mutual respect and trust are foundational to how our board operates.
The Power of “I Don’t Know”
Bob: Respecting a response of “I don’t know” is critical to partnership — demonstrated at this firm to great effect. When team members present to the board and a question arises that isn’t immediately answerable, the response is candid: “I don’t know, but I’ll get back to you.” That humble candor sends such a strong signal of integrity and strengthens the partnership between the board and the management team.
Brett: The board isn’t just about governance and approvals; it’s a sounding board. It’s another way for us to embrace outside perspectives.
Shannon: When I walk into a board meeting, I know it’s a collaborative environment. The board will challenge us — not to criticize, but to help us make better decisions. That’s the hallmark of a strong partnership: open and honest dialogue where both sides feel heard and respected.
Bob: And that openness extends to tough conversations. Over my 10 years here, there have been moments when things didn’t go as planned. The management team didn’t wait eight weeks to put together a polished report; they called right away. Those Friday afternoon calls are tough, but they reflect the groundwork of trust and candor that’s been laid over time.
Client-First at Every Level
Bob: Client-first is ingrained in everything we do as directors. When mistakes happen, the entire partnership kicks into gear. We figure out what went wrong, define the damage and, if applicable, make the client whole. Our solid financial foundation allows us to do this effectively.
Brett: Transparency is key. When something happens that we didn’t intend, we immediately engage the board. We explain what happened, how we calculate the loss and how we plan to resolve it. Here, the board’s involvement ensures precision and accountability.
Shannon: By being open, we give the board visibility into potential blind spots and strengthen our ability to prevent future issues. Transparent discussions lead to the best outcomes for clients.
Bob: It’s worth noting that major issues are infrequent — perhaps two or three times in 10 years. But when they arise, the response is swift, thorough and client-focused.
Continuous Growth and Innovation
Bob: It’s a delicate balance. Growth — intelligent, deliberate growth — is essential to our ability to serve clients over the long term. Opportunities can be the fun part, but risk management is equally important. Policing risk can’t be so overbearing that it stifles growth or innovation. Our board understands this balance well. While we operate with the rigor of a public company, the interactive nature of our board discussions sets us apart.
Brett: Our partnership with the board is all about evolution — it’s about building something together, about driving innovation while remaining devoted to the firm’s mission and values.
